Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SpevyAI ("SpevyAI", "we", "us", or "our") governing your access to and use of the SpevyAI platform, website (spevy.ai), and all associated tools and services (collectively, the "Service").

By accessing or using the Service, creating an account, or subscribing to a paid plan, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

1. Who We Are

2. Eligibility

• You must be at least 13 years of age to create an account or use the Service.
• If you are between 13 and 17 years old, you represent that you have obtained consent from a parent or legal guardian to use the Service, and that your parent or guardian agrees to these Terms on your behalf.
• If you are under 13, you are not permitted to use the Service under any circumstances. We do not knowingly allow users under 13.
• By creating an account, you represent and warrant that you meet the above age requirements and that all information you provide is accurate and truthful.

3. Account Registration & Security

• You must create an account to access certain features of the Service. You agree to provide accurate, current, and complete information during registration.
• You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at contact@spevy.ai if you become aware of any unauthorized access to or use of your account.
• You may only maintain one account. Creating multiple accounts to circumvent limits or restrictions is prohibited.
• We reserve the right to refuse registration or cancel accounts at our discretion.

4. Acceptable Use

You agree to use the Service only for lawful educational purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable local, national, or international laws or regulations
• Submit, generate, or distribute content that is unlawful, defamatory, obscene, harmful, abusive, threatening, harassing, or otherwise objectionable
• Attempt to reverse-engineer, decompile, disassemble, or otherwise circumvent the platform or its underlying systems, algorithms, or security measures
• Attempt to gain unauthorized access to any part of the Service, its servers, or any connected systems
• Use automated tools, bots, scrapers, or scripts to access, harvest, or extract data from the Service without prior written consent
• Impersonate any person or entity, or misrepresent your identity or affiliation with any person or organization
• Use the Service for any commercial purpose, resale, or redistribution without our prior written consent
• Transmit viruses, malware, or any other harmful code through the Service
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure
• Upload or input copyrighted material you do not have the right to use

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violations of this section.

5. AI-Generated Content & Disclaimer

SpevyAI uses artificial intelligence (powered by Anthropic's Claude API) to generate study plans, tutoring responses, summaries, quizzes, and other educational content. By using these features, you acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, omissions, or outdated information ("hallucinations") and must not be treated as factually verified or professionally authoritative
• SpevyAI is a study support tool and does not replace qualified teachers, academic advisors, tutors, or any professional in any field
• You are solely responsible for verifying any information generated by the Service before relying on it academically, professionally, or otherwise
• SpevyAI makes no guarantee that AI outputs are complete, accurate, appropriate, or fit for any particular purpose
• Your inputs are not used to train any AI model. Content you submit is processed in real time solely to generate your output
• All AI-generated content is clearly produced by an artificial intelligence system, not a human expert

6. Academic Integrity

SpevyAI is designed to support and enhance your learning, not to replace your own academic effort or enable dishonesty. You agree that:

• It is your responsibility to understand and comply with your school, university, or institution's policies regarding the use of AI tools in coursework, assessments, and academic submissions
• SpevyAI does not condone, encourage, or support academic dishonesty, plagiarism, or contract cheating in any form
• SpevyAI is not liable for any academic consequences, penalties, or disciplinary actions resulting from your use or misuse of the Service
• We recommend disclosing the use of AI-assisted tools where required by your institution

7. Subscriptions & Billing

a) Plans

SpevyAI offers a free plan with limited features and a Premium subscription with full access to all tools. Features available under each plan are described on the Pricing page and may be updated at our discretion with reasonable notice.

b) Billing & Auto-Renewal

Premium subscriptions are billed on a monthly or yearly basis depending on the plan selected at checkout. All subscriptions automatically renew at the end of each billing period unless cancelled beforehand. By subscribing, you authorize SpevyAI (via Stripe) to charge your payment method on a recurring basis until you cancel.

c) Pricing

All prices are displayed in USD and are exclusive of any applicable taxes, which may be added depending on your location. We reserve the right to change subscription pricing at any time. Any price changes will be communicated at least 14 days in advance and will take effect at your next renewal. Continued use of the Service after a price change constitutes your acceptance of the new price.

d) Promotional Pricing

Limited-time promotional rates (including introductory discounts or coupon codes) are offered at our sole discretion, are non-transferable, and apply only under the specific conditions stated at the time of purchase. Promotional pricing may be subject to eligibility limits (e.g. first N subscribers). We reserve the right to modify or discontinue promotions at any time.

e) Failed Payments

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your subscription may be suspended or downgraded to the free plan until payment is resolved. You are responsible for keeping your payment method current and valid.

f) Cancellation

You may cancel your Premium subscription at any time through your account settings or by contacting us at contact@spevy.ai. Cancellation takes effect at the end of the current billing period. You will retain full Premium access until that date. Cancellation does not entitle you to a prorated refund for the unused portion of your billing period unless a refund is approved under our refund policy below.

g) Refunds

All subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain full Premium access until the end of your current billing period. No partial or prorated refunds are issued for unused time. If you believe you were charged in error, contact us at contact@spevy.ai and we will review your case.

h) Downgrade

Upon cancellation or expiration of your Premium subscription, your account will automatically revert to the free plan. Your account data will not be deleted; however, access to Premium-only features will be restricted. Content created or generated under Premium may no longer be accessible if it requires Premium features to view.

i) Taxes

You are responsible for any applicable taxes, levies, or duties imposed by your jurisdiction in connection with your subscription. SpevyAI is not responsible for calculating, collecting, or remitting taxes on your behalf unless required to do so by law.

8. Intellectual Property

a) SpevyAI IP

All content, design, software, trademarks, logos, brand identity, and technology on the Service — including but not limited to the platform interface, original written content, and underlying code — are the exclusive property of SpevyAI and are protected by applicable copyright, trademark, and intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

b) Your Content

You retain ownership of any original content you submit to the Service (e.g. notes, questions, assignments). By submitting content, you grant SpevyAI a limited, non-exclusive, royalty-free, worldwide licence to process and use that content solely to deliver the Service to you. This licence terminates when your content is no longer needed to provide the Service or when you delete your account.

c) AI Output Ownership

AI-generated outputs (study plans, summaries, tutor responses, etc.) are provided for your personal educational use. Under current law, purely AI-generated content may not be eligible for copyright protection. SpevyAI does not claim ownership of outputs generated in response to your inputs. However, you may not resell, redistribute, or commercially exploit AI-generated outputs without our prior written consent.

9. DMCA & Copyright Infringement

SpevyAI respects the intellectual property rights of others and expects users to do the same. If you believe that any content on the Service infringes your copyright, please send a written notice to contact@spevy.ai including:

• A description of the copyrighted work you claim has been infringed
• A description of where the allegedly infringing material is located on the Service
• Your contact information (name, address, phone number, email)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf

We will investigate all valid DMCA notices and take appropriate action, which may include removing or disabling access to the reported content.

10. Third-Party Services

SpevyAI integrates with third-party services including Anthropic, Supabase, Stripe, Resend, PostHog, and Google. Your use of the Service may be subject to those providers' terms and policies. SpevyAI is not responsible for the availability, accuracy, content, or practices of any third-party services. Links to third-party websites within the Service do not imply endorsement.

11. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

12. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, secure, or free from viruses or harmful components
• Warranties regarding the accuracy, completeness, or reliability of any content, including AI-generated outputs

Your use of the Service is entirely at your own risk.

13. Limitation of Liability

To the fullest extent permitted by applicable law, SpevyAI and its operators, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

• Loss of data, profits, revenue, or business opportunities
• Academic consequences, exam results, or educational outcomes
• Damages resulting from reliance on AI-generated content
• Service interruptions, technical failures, or unauthorized access to your account

In no event shall SpevyAI's total liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the total amount you paid to SpevyAI in the 12 months preceding the claim, or (b) USD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless SpevyAI and its operators, officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit to or through the Service.

15. Termination

• By you: You may terminate your account at any time by deleting it through your account settings or contacting us at contact@spevy.ai.
• By SpevyAI: We reserve the right to suspend or permanently terminate your account, with or without prior notice, if you violate these Terms, engage in conduct harmful to other users or the platform, or for any other reason at our sole discretion.
• Effect of termination: Upon termination, your right to access and use the Service will immediately cease. If terminated due to a Terms violation, you will not be entitled to any refund of subscription fees paid.
• Survival: Sections relating to intellectual property, disclaimer of warranties, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive termination, shall survive termination of these Terms.

16. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Service, you agree to first contact us at contact@spevy.ai and attempt to resolve the dispute informally. We will make a good-faith effort to resolve any complaint within 30 days.

If informal resolution fails, disputes shall be resolved through binding arbitration or in the courts of the applicable jurisdiction, as required by law. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against SpevyAI to the fullest extent permitted by applicable law.

17. Governing Law

These Terms are governed by and construed in accordance with applicable law in the jurisdiction in which SpevyAI operates. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts of that jurisdiction, and you consent to personal jurisdiction therein.

18. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where feasible, notify you by email or through the Service. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

19. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpevyAI with respect to the Service and supersede all prior agreements, understandings, or representations.
• Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of SpevyAI.
• Force Majeure: SpevyAI will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, cyberattacks, or failure of third-party infrastructure.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. SpevyAI may assign these Terms without restriction.
• No Agency: Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and SpevyAI.
